Terms & Conditions

1. Acceptance of Terms

By accessing and using the services provided by Coding Partner ("we," "us," or "our"), you ("client," "you," or "your") accept and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.

2. Services Overview

Coding Partner provides web development services including but not limited to:

• Custom web application development
• Website design and development
• CRM and LMS platform development
• API development and integration
• E-commerce solutions
• Website maintenance and support
• Technical consultation

3. Project Engagement

3.1 Project Proposal & Agreement

All projects begin with a detailed proposal outlining scope, deliverables, timeline, and costs. Work commences only after:

• Written acceptance of the proposal by the client
• Receipt of the initial payment (typically 30% advance)
• Signing of the project agreement or work order

3.2 Scope of Work

The scope of work is defined in the project proposal. Any changes or additions to the scope (scope creep) will be documented and may result in additional costs and timeline adjustments.

3.3 Client Responsibilities

The client agrees to:

• Provide timely feedback and approvals
• Supply necessary content, images, and materials
• Provide access to required systems and accounts
• Designate a primary point of contact
• Review deliverables within agreed timeframes

4. Payment Terms

4.1 Payment Structure

Unless otherwise agreed, projects follow this payment schedule:

• 30% Advance: Due upon project confirmation
• 40% Mid-Project: Due upon completion of major milestones
• 30% Final: Due upon project completion and before delivery

4.2 Payment Methods

We accept payment via bank transfer (NEFT/RTGS/IMPS), UPI, PayPal, Razorpay, and international wire transfers. All payments must be made in Indian Rupees (INR) unless otherwise agreed.

4.3 Late Payment

Invoices are due within 7 days of issuance. Late payments may result in:

• Project work suspension until payment is received
• Late payment fees of 2% per month on outstanding amounts
• Cancellation of the project if payment is overdue by 30 days

4.4 Taxes

All quoted prices are exclusive of applicable taxes (GST, service tax, etc.). Taxes will be added to invoices as per Indian law.

5. Intellectual Property Rights

5.1 Ownership Upon Payment

Upon receipt of full and final payment, all intellectual property rights for custom-developed work transfer to the client, including:

• Source code and databases
• Custom designs and graphics
• Documentation and technical specifications

5.2 Pre-Existing Materials

We retain rights to:

• Pre-existing code libraries and frameworks
• Third-party plugins and components
• Reusable code snippets and tools
• Development methodologies and processes

5.3 Portfolio Rights

We reserve the right to display completed projects in our portfolio and marketing materials unless a non-disclosure agreement (NDA) is in place or the client explicitly requests otherwise.

6. Warranties & Limitations

6.1 Service Warranty

We warrant that:

• Services will be performed with professional care and skill
• Deliverables will substantially conform to specifications
• Work will be original and not infringe third-party rights

6.2 Bug Fixes & Support

We provide a 30-day warranty period from project delivery for bug fixes related to our development work. This does not cover:

• Issues caused by client modifications
• Third-party service failures
• Hosting or server problems
• New feature requests

7. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the total amount paid by the client for the specific project
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for loss of profits, data, or business opportunities
• Liability for third-party services or products is excluded

8. Confidentiality

We agree to keep confidential all proprietary information received from clients. However, this does not apply to information that:

• Is publicly available
• Was already known to us
• Is independently developed by us
• Must be disclosed by law

9. Project Cancellation & Refunds

9.1 Client Cancellation

Clients may cancel projects with written notice. Refund policy:

• Before work starts: 80% refund of advance payment
• Up to 25% completion: 50% refund of total project cost
• 25-50% completion: 25% refund of total project cost
• Over 50% completion: No refund; full payment due

9.2 Our Right to Cancel

We reserve the right to cancel projects if:

• Client fails to make timely payments
• Client violates these terms
• Project requirements involve illegal activities
• Client is unresponsive for 30+ days

10. Hosting & Third-Party Services

If we arrange hosting or third-party services on your behalf:

• You are responsible for renewal fees and ongoing costs
• We are not liable for third-party service failures
• Domain names and hosting accounts should be registered in your name
• We can provide management services for an additional fee

11. Maintenance & Support

Post-launch maintenance is available through separate agreements. Maintenance packages may include:

• Security updates and patches
• Performance monitoring
• Content updates
• Technical support

Without a maintenance agreement, support is provided on an hourly basis at our standard rates.

12. Indemnification

You agree to indemnify and hold harmless Coding Partner from any claims, damages, or expenses arising from:

• Your use of our services
• Content you provide
• Violation of these terms
• Infringement of third-party rights

13. Force Majeure

We are not liable for delays or failure to perform due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, internet failures, or labor disputes.

14. Dispute Resolution

14.1 Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes will be resolved in the appropriate courts of Sirsa, Haryana, India.

14.2 Dispute Process

In case of disputes, parties agree to:

1. Attempt good faith negotiations
2. Engage in mediation if negotiation fails
3. Resort to arbitration or legal proceedings if necessary

15. Amendments

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.

16. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms and Conditions, along with the project proposal and any written agreements, constitute the entire agreement between the parties and supersede all prior communications and agreements.
